Gregg Jaclin

Managing Director, Exchange Listing LLC

Gregg Jaclin leads Exchange Listing’s work helping growth-stage companies get onto a senior U.S. exchange and succeed once they are there. He came to the advisory side after 25 years as a securities attorney in the small-cap and micro-cap public markets, where he saw the same problem again and again: companies that had the business to go public but no one to show them how.

“There really was a void in the marketplace. The bankers weren’t doing this, the attorneys weren’t doing it. There was no one helping these companies find the right partners, and also really learn how to be a public company.”
— Gregg Jaclin

Filling the gap between the bankers and the lawyers

On a listing, the investment bank raises the capital, securities counsel drafts the registration statement, and the auditors handle the numbers. Gregg’s role is everything in between. He introduces companies to the right underwriters and manages that relationship through pricing. He builds out boards and governance structures that satisfy Nasdaq, NYSE, and SEC requirements. He helps arrange bridge financing ahead of an offering, sharpens the investor deck and financial model, and stays involved in the aftermarket after the bell has rung.

A record across every route to market

Gregg’s transactions cover traditional IPOs, uplistings from the OTC and foreign markets, SPAC mergers, and direct listings on Nasdaq Capital Market, NYSE American, and Cboe, including the first U.S. initial public offering completed on Cboe. Offerings have ranged from $5.0 million to $50.1 million for issuers based in five countries. Companies he has taken public include La Rosa Realty, Neuraxis, Inspire Veterinary Partners, SurgePays, HeartBeam, GreenBox POS, Tenon Medical, Cosmos Holdings, VCI Global, Treasure Global, and Siyata Mobile, across healthcare, fintech, real estate, technology, e-commerce, and pharmaceuticals.

Betting on the jockey

Gregg evaluates a company the way an investor would, starting with the people running it. Sector and current revenue matter, but a committed management team with a sound business model matters more. He is candid when a company is not ready to list, and he will point it toward a private raise, a crowdfunding round, or a SPAC merger instead of a transaction that will not hold up. Because much of his fee is tied to a successful listing, his interests stay aligned with the company’s performance after the offering, not just the closing.

He also prepares founders for what comes next. As he tells clients, a newly public company’s leaders “have two jobs: the regular job of running their company, and then the job of running a public company.”

A global view

Through Exchange Listing’s presence in Southeast Asia, Gregg advises companies in Singapore, Malaysia, Indonesia, and Vietnam that want the valuation and liquidity of a U.S. senior exchange listing.

Gregg is also the founder of JRB Consulting LLC, a Princeton, New Jersey advisory practice established in 2017. He holds a B.A. from the University of Maryland, College Park and a J.D. from the Benjamin N. Cardozo School of Law. Outside the office, he plays basketball and pickleball, rides his bike, and coaches his children’s sports teams.
